These terms govern your use of the Cull.ai website. The site is informational; no product is publicly available yet.

These Terms of Service ("Terms") govern your access to and use of the Cull.ai website at cull.ai (the "Site"), operated by Cull.ai, Inc. ("Cull," "we," "our," or "us"). By using the Site you agree to these Terms. If you do not agree, do not use the Site. For information about how we handle personal data, see our Privacy Policy.

1. The Site

The Site is an informational website describing Cull.ai's products, technology, and company. It does not currently provide access to any software product or service. Joining a waitlist through the Site does not guarantee access to any product and does not create any contractual obligation on Cull's part. Product terms will be published separately before any product becomes available.

2. Use of the Site

You may use the Site for lawful purposes only. You agree not to:

  • scrape, crawl, or systematically copy Site content without our written permission;
  • attempt to gain unauthorized access to any portion of the Site or its infrastructure;
  • use the Site in any way that could damage, disable, or impair it;
  • submit false or misleading information through any form on the Site;
  • use the Site in violation of any applicable law or regulation.

3. Intellectual property

All content on this Site — including text, design, graphics, the Cull.ai name, and the CULL mark (trademark application pending, USPTO) — is owned by or licensed to Cull.ai, Inc. and is protected by U.S. and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Site content without our prior written permission.

Nothing on this Site grants you any license to any Cull.ai patent, trademark, copyright, or other intellectual property.

4. Third-party links

The Site may link to third-party websites. We do not control and are not responsible for the content, privacy practices, or terms of any linked site. Links do not imply endorsement.

5. Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components.

6. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CULL.AI, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR ANY CONTENT ON IT.

IN NO EVENT WILL CULL'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SITE EXCEED ONE HUNDRED DOLLARS ($100).

7. Indemnification

You agree to indemnify, defend, and hold harmless Cull.ai, Inc. and its officers, directors, employees, and affiliates from any claim, liability, loss, damage, or expense (including reasonable attorneys' fees) arising from your use of the Site or your violation of these Terms.

8. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. Any dispute arising under or relating to these Terms that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Santa Clara County, California, and you consent to personal jurisdiction there.

9. Changes to these Terms

We may update these Terms at any time. Updated Terms are effective when posted with a revised effective date. Your continued use of the Site after an update constitutes acceptance of the revised Terms. If changes are material, we will make reasonable efforts to notify you.

10. Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cull.ai, Inc. with respect to your use of the Site and supersede all prior agreements on that subject.
